A/R and Inventory Facility
Lead by our Executive VP, Brian Center, FWC met with the
prospect twice, and created a structure that worked for all
parties. The structure was a conventional LBO, but also
incorporated a unique Inventory / PO facility.
The prospect was owned by a foreign and non-active
entity. The current management had operated the
business for 14 years and had previously
owned the business.
The prospect wanted to purchase the company. Their
bank attempted to structure the transaction with the
assistance of a number of Investment Banking firms, etc.
After a number of attempts with different Investment
Banking Firms, a transaction never materialized.
The prospect and its bank enjoy a very close relationship.
The banker suggested they speak with FWC.

parties. The structure was a conventional LBO, but also
incorporated a unique Inventory / PO facility. This
provided the structure necessary to give the prospect
comfort that ample working capital would
be available post-acquisition.

The transaction was underwritten and approved within a
week. FWC and the prospect were prepared to close
at anytime after that.

with FWC, the prospect was able to negotiate a solid
and favored transaction with the seller and close
quickly, thereby preventing any dilution in
the new ownership.
REACHING OUT
At the end of the day, FWC did what we said we could do
with a fantastic and profitable company and our client enjoys
100% ownership. Once the leverage is reduced over a few years,
the client will be ready to return to FWC original referring bank.
